1. Introduction

These Terms of Use ("Terms") govern your access to and use of the SouthScape platform ("Platform"), operated by Harshitha S, having its registered office at 132, 6th cross, 1st A block, JP Nagar 8th ph, Bangalore, KA, India - 560076 ("SouthScape", "we", "us", "our").

SouthScape is a B2B SaaS platform for tour operators, hotels, resorts, travel agencies, and similar travel businesses. By accessing our website, submitting onboarding details, creating an account, or using any SouthScape portal, you agree to these Terms.

2. Nature of the Platform

SouthScape provides software infrastructure and workflow tools, including:

  • Business dashboard for catalog, pricing, availability, booking, and agent operations
  • Website publishing, branding controls, and custom-domain tooling
  • Ticketing, customer communication support, and analytics modules
  • Payment integration rails for partner online booking flows

SouthScape acts as a technology provider. Unless explicitly agreed in writing, SouthScape is not the on-ground travel service provider for partner-managed offerings.

3. Account and Eligibility

  • You must provide accurate business and account information.
  • You are responsible for all actions taken through your account credentials.
  • You must promptly report unauthorized access or suspected account compromise.

4. Partner and End-Customer Responsibility

For partner-managed services, the partner remains responsible for pricing, fulfillment, legal compliance, customer support, and customer-facing refund or cancellation handling.

SouthScape does not guarantee partner service quality, availability, or fulfillment outcomes.

5. Acceptable Use

  • Do not attempt unauthorized access, scraping, reverse engineering, or security testing without permission.
  • Do not submit fraudulent bookings, misleading content, or false business information.
  • Do not interfere with platform stability, security, or availability.
  • Do not upload unlawful, infringing, or deceptive material.

6. Fees and Commercial Terms

Subscription fees, platform charges, and related commercial terms are governed by applicable plan and contract terms. SouthScape may revise plans, pricing, and feature scope in accordance with those terms.

7. Intellectual Property

All platform software, branding, and associated materials remain the property of SouthScape or its licensors. You receive a limited, non-transferable right to use the Platform for authorized business purposes.

8. Limitation of Liability

To the maximum extent permitted by law, SouthScape is not liable for indirect, incidental, special, or consequential damages, including business interruption, data loss, or lost profits.

SouthScape's aggregate liability is limited to fees paid to SouthScape for the relevant service period directly related to the claim.

9. Suspension and Termination

SouthScape may suspend or terminate access for fraud risk, policy violations, legal non-compliance, security threats, or payment default.

10. Dispute Resolution

Disputes shall first be attempted to be resolved amicably. Failing resolution, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. Governing law: India. Arbitration seat: Bangalore, KA, India. Courts of Bangalore, KA, India shall have exclusive jurisdiction for court-supervised proceedings.
